1. Agreement and eligibility

By using a ClipForge website or online service, purchasing a license, or accepting these Terms in a product flow, you agree to these Terms with CTF Designs, LLC. If you use ClipForge for an organization, you represent that you have authority to bind it. You must be legally able to enter this agreement and meet any minimum age required where you live.

If you do not agree, do not use the services or purchase a license.

2. The service

ClipForge provides local-first tools for transcribing, selecting, reframing, captioning, reviewing, exporting, and optionally publishing video clips. Features, supported platforms, provider integrations, and availability may change. A website description or roadmap is not a guarantee that a future feature, platform build, release date, or integration will be delivered.

Downloads and purchasing are available only when expressly enabled. A “launching soon” page is not an offer to sell.

3. Your content and permissions

You keep ownership of content you process. You are responsible for obtaining all rights, licenses, consents, and permissions needed to download, copy, transcribe, edit, caption, publish, or otherwise use source media, music, voices, likenesses, trademarks, and other material.

You authorize ClipForge and any connected provider you deliberately use to process your content only as needed to perform your requested action. Local processing does not grant you rights in third-party content or excuse compliance with platform rules, copyright, privacy, publicity, employment, or other laws.

4. Acceptable use

You may not use ClipForge or its services to:

• violate law, court orders, intellectual-property rights, privacy rights, platform terms, or contractual restrictions;
• create or distribute unlawful, deceptive, abusive, exploitative, or malicious material;
• bypass technical restrictions, licensing controls, rate limits, promotion rules, or device limits;
• probe, disrupt, overload, attack, or gain unauthorized access to any service, account, key, database, or customer information;
• share, resell, sublicense, or publicly expose customer keys or entitlements except as the EULA permits;
• misrepresent generated or edited media in a way prohibited by applicable law or a destination platform.

5. Accounts, keys, and security

You are responsible for safeguarding verification links, customer keys, license files, local credentials, and connected-service credentials. Notify us promptly if you believe they were exposed or misused. We may rotate credentials, restrict requests, suspend online access, or require verification to protect customers and the service.

Do not submit another person’s email address or payment method without authorization. Promotion eligibility, payment state, and entitlement issuance are determined by server records and verified provider events, not browser counters or success redirects.

6. Purchases, renewals, and taxes

Prices and plan terms shown at Checkout control the transaction. Annual subscriptions renew automatically at the displayed interval and price unless canceled before renewal. Lifetime licenses are one-time purchases and do not renew. The first 100 qualifying paid annual customers receive the founding lifetime conversion described in the License and Refund Policies. Taxes, currency conversion, and issuer fees may apply as shown by Stripe or your financial institution.

CTF Designs uses Stripe for hosted payment and subscription management and does not store complete payment-card numbers. See the Refund and Cancellation Policy for cancellation timing, refunds, promotion treatment, and statutory rights.

7. Third-party services

Cloudflare, Stripe, Resend, Buffer, video-source platforms, destination platforms, model providers you configure, and other third-party services have their own terms and privacy practices. We do not control their availability, decisions, data practices, content removal, account restrictions, or fees. You are responsible for connected accounts and must review submissions before approving publication.

8. Intellectual property and feedback

ClipForge software, websites, branding, documentation, and service technology are owned by CTF Designs or its licensors and are protected by applicable law. These Terms do not transfer ownership. Open-source components remain under their respective licenses.

If you voluntarily provide product feedback, you grant CTF Designs a worldwide, perpetual, irrevocable, royalty-free right to use it without identifying you or owing compensation, subject to the Privacy Policy.

9. Suspension and termination

You may stop using the services at any time and may cancel an annual subscription as described in the Refund Policy. We may suspend or terminate online services or credentials for material breach, fraud, abuse, security risk, nonpayment, legal requirement, or conduct that threatens customers or infrastructure. When reasonably possible, we will provide notice and an opportunity to address a curable issue.

Termination does not erase payment, refund, dispute, security, or promotion records we reasonably must retain, and does not remove obligations or rights intended to survive.

10. Disclaimers

To the fullest extent permitted by applicable law, ClipForge and its services are provided “as is” and “as available.” We do not promise uninterrupted operation, compatibility with every source or destination, perfect transcription or highlight selection, preservation of third-party access, or that generated output is accurate, lawful, or suitable for publication. You must review every output and publishing action.

Nothing in these Terms excludes warranties, guarantees, or remedies that cannot lawfully be excluded.

11. Limitation of liability

To the fullest extent permitted by applicable law, CTF Designs and its members, personnel, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, data, goodwill, or business opportunity; or third-party platform actions arising from ClipForge. Our aggregate liability arising from the services will not exceed the greater of the amount you paid CTF Designs for ClipForge during the 12 months before the event giving rise to the claim or USD $100.

These limits do not apply where prohibited or to liability that cannot lawfully be limited.

12. Disputes and applicable law

Before filing a claim, contact us and provide enough information to investigate; both sides agree to make a good-faith effort to resolve the issue informally. We do not designate a fabricated governing jurisdiction or exclusive venue in these Terms. Applicable law, mandatory consumer protections, and competent forums are determined by the facts and law that govern the parties and transaction.

13. General terms

If part of these Terms is unenforceable, the remaining provisions remain effective to the extent permitted. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them with a business transfer or by operation of law. These Terms, the EULA, Privacy Policy, Cookie Notice, Refund Policy, and transaction-specific terms form the agreement for the covered services.

14. Changes and contact

We may update these Terms prospectively. The effective date identifies the current version. Material changes will be communicated when required. Changes do not retroactively alter a completed purchase except where agreed or legally permitted.
