License Policy

1. Agreement

This End User License Agreement and License Policy (“EULA”) is between you and CTF Designs, LLC. It applies when you install, activate, import a ClipForge license file, or use the ClipForge desktop software. The Terms of Use, Privacy Policy, and Refund and Cancellation Policy are incorporated where relevant.

If you accept for an organization, you represent that you can bind it. If you do not agree, do not install or use the software.

2. License grant

Subject to this EULA and a valid entitlement, CTF Designs grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use ClipForge for lawful personal or internal business purposes on up to two active devices at a time. You may make reasonable backup copies of installers and your issued license file, but a backup does not create additional device rights.

You may use ClipForge to create commercial output if you hold all necessary rights in the source and output. CTF Designs claims no ownership of your projects or rendered clips.

3. Seven-day trial

Each eligible installation may receive one seven-day, full-feature trial beginning only after successful online registration with the licensing service. Opening settings, a failed registration, or an unconfigured installation does not start a trial. Trial eligibility is server-authoritative and may be limited to prevent reinstall, identity, device, or other abuse.

When a trial expires, ClipForge blocks new paid processing actions. Existing projects, exports, status, logs, support tools, cancellation controls, and license recovery remain accessible; ClipForge does not delete projects merely because a trial expires.

4. Annual subscription

An annual entitlement provides the full ClipForge feature set for the paid annual term and renews automatically each year at the price displayed at Checkout unless canceled before renewal. A renewed signed entitlement may be needed for continued offline use after the prior term. Canceling stops future renewal and preserves access through the already-paid term unless a refund, dispute, or legal requirement ends access earlier.

If payment fails, the licensing service may provide a limited grace period while Stripe retries payment. A grace period is not a promise that payment will succeed or that access will continue indefinitely.

5. Lifetime licenses

A lifetime entitlement is a one-time license with no fixed expiration date for the licensed ClipForge product. It is not a subscription and does not renew. “Lifetime” refers to the licensed ClipForge product’s commercial availability and supportable operation—not the lifetime of a person, company, device, third-party platform, operating system, or external service.

A lifetime license includes updates that CTF Designs makes generally available without additional charge to customers of the same ClipForge product edition. It does not promise any particular update, feature, support period, future paid major edition, separate product, ongoing compatibility with changed operating systems or third-party services, or perpetual operation of online activation and recovery infrastructure.

6. Launch promotion and founding conversion

Promotion allocation is determined atomically by verified successful payments and server records; website counters are informational. The first 100 qualifying paid annual customers receive lifetime access after the initial $19.99 payment. CTF Designs retains that initial payment, grants a lifetime entitlement, and cancels future subscription renewals. This conversion is not a refund.

Customers 101 through 1,100 may choose the then-available annual subscription or the $49.50 one-time launch lifetime offer. After that allocation, the standard lifetime price is $99 unless a different price is shown at Checkout. Promotion allocations are one per customer and are not recycled after refund, chargeback, or repeat purchase. A stale or ineligible promotion attempt may be held for review rather than automatically fulfilled.

7. Devices, activation, and transfer

A paid license permits up to two active device installations. Reinstalling, replacing hardware, restoring a system, recreating a container, or replacing a WSL distribution may require deactivation or reset. The supported device-management flow can list, deactivate, or reset active slots and then activate a destination device.

Activation may use an online customer key or an installation-bound signed ClipForge.license file. Both represent the same entitlement. Do not share keys or license files outside your licensed organization or alter device identity to bypass limits.

8. Offline operation and limitations

A valid signed trial receipt works until trial expiry, a valid annual receipt works until its signed term expires, and a valid lifetime receipt has no scheduled expiry. Offline use does not extend an expired trial or annual term. Clock rollback or tampering may block processing until corrected or revalidated.

Remote deactivation, reset, refund, dispute, or termination cannot technically recall a previously issued license file from a device that remains offline. This technical limitation does not preserve the legal license: after revocation or refund, you must stop using and delete affected copies even if an offline device has not yet received the status change.

9. Restrictions

Except where applicable law expressly permits despite this restriction, you may not:

• copy, sell, rent, lease, sublicense, distribute, or provide ClipForge as a service bureau beyond the rights granted here;
• reverse engineer, decompile, disassemble, extract protected components, or attempt to derive source code;
• remove notices, alter signed entitlements, forge licenses, share customer keys, evade activation, or exceed device or promotion limits;
• use ClipForge or connected services unlawfully or to violate rights, platform terms, security controls, or access restrictions;
• use CTF Designs branding in a way that suggests endorsement or ownership.

These restrictions do not limit rights under separate open-source licenses for included components.

10. Updates and support

Updates may add, change, repair, or remove functionality and may be required for security, provider compatibility, or online services. Back up projects and settings before updating. Unless separately promised in writing, support is provided on a commercially reasonable basis through the contact below, without a guaranteed response or resolution time.

11. Ownership and third-party components

CTF Designs and its licensors retain all rights in ClipForge, documentation, branding, and service technology not expressly granted. Open-source and third-party components are governed by their accompanying licenses or notices. Third-party services and model weights may impose additional terms.

12. Termination and effect

This EULA ends automatically if you materially breach it and do not cure the breach after notice where cure is appropriate, or if a payment is refunded, disputed, reversed, or unauthorized. CTF Designs may revoke affected entitlements and online access. Upon termination, stop using and delete the software and affected license files. You may retain and access your own exported media and project data using lawful tools.

Sections concerning ownership, restrictions, payment records, disclaimers, liability, disputes, and obligations that by their nature should survive will survive termination.

13. Warranty, liability, and statutory rights

The disclaimers and liability limits in the Terms of Use apply to the software to the fullest extent permitted by law. ClipForge uses automated and deterministic processing that can produce incorrect transcripts, selections, crops, captions, or metadata; you must review output before use or publication.

Nothing in this EULA excludes non-waivable consumer guarantees, refund rights, accessibility rights, reverse-engineering rights, or other protections that applicable law requires.
